These Terms of Service ("Terms") are between OneTwo Growth Studio LLC, a Washington (USA) limited liability company ("Company"), and the customer identified in the order, checkout, or signature block ("Client"). By subscribing or otherwise receiving the Services, Client agrees to these Terms.
1. OVERVIEW; HOW THE SERVICE WORKS
1.1 Model. Company provides an AI systems build service on a subscription basis. Client may queue unlimited requests; Company works on one active request at a time. Most builds ship in about two (2) weeks once started, subject to these Terms.
1.2 No Hours. Fees are subscription-based; hours are not tracked and do not govern delivery.
1.3 Non-Exclusivity. Company may provide similar services to others.
2. DEFINITIONS
- "Billing Date" means the monthly renewal date (anniversary of activation unless otherwise agreed).
- "Billing Period" means the month between Billing Dates.
- "Business Day" means Monday–Friday in the America/Los_Angeles time zone, excluding U.S. federal holidays and Company-published Blackout Days.
- "Blackout Days" are planned non-working days published by Company at least twenty-one (21) calendar days in advance.
- "Build Days" means Business Days on which Company performs work for Client.
- "Banked Build Days" means Build Days credited to Client under Section 7.
- "Ready-to-Build" means a request has all required inputs, access, and approvals listed in Company’s intake (including problem statement, success criteria, systems involved, sample data, credentials/API keys as needed, and decision-maker availability).
- "Client Delay" means any delay caused by Client’s failure to provide required inputs, access, approvals, or timely feedback after work has begun.
- "Deliverables" means configurations, custom code authored for Client, and documentation created for Client under the Services.
- "Background IP" means Company’s pre-existing and generalized templates, libraries, prompts, scripts, connectors, methods, know-how, and improvements thereto.
